Bylaws
The OPCA Bylaws establish the framework that governs how the Oregon Pest Control Association operates. They outline the association’s purpose, membership structure, leadership roles, decision-making processes, and standards of accountability. Together, the bylaws ensure OPCA operates transparently, consistently, and in alignment with its mission to support the pest management industry in Oregon.
Summary of Bylaws
Purpose & Mission
The bylaws define OPCA’s core objectives, which include promoting professionalism, advancing education and training, fostering cooperation within the industry, and strengthening relationships with regulators and the public. They guide OPCA’s efforts to protect public health, property, food systems, and the environment through responsible pest management practices.
Membership Structure
OPCA membership is organized into voting and non-voting categories.
- Active Members are licensed pest control or wildlife control firms in Oregon and hold voting rights within the association.
- Associate, Allied, Honorary, and Lifetime Members support the association but do not vote or hold elected office.
Membership is held by the company rather than an individual, with each Active Member designating a representative to vote and participate on the firm’s behalf.
Member Rights & Participation
The bylaws outline member rights, including voting privileges for Active Members, eligibility to attend meetings and events, participation in committees, and use of OPCA resources and branding. These provisions ensure fair representation and encourage active engagement across the membership.
Governance & Leadership
OPCA is governed by a Board of Directors, made up of elected officers and Members-at-Large. The Board is responsible for overseeing the association’s operations, finances, policies, and strategic direction. Officers serve defined terms and follow a structured leadership progression to promote continuity and effective governance.
Committees support the Board by developing recommendations, programs, and initiatives aligned with OPCA’s mission.
Meetings & Decision-Making
The bylaws define how and when meetings are held, including regular meetings, the Annual Meeting, and special meetings. They establish quorum requirements, voting procedures, and the use of proxies to ensure decisions are made fairly and in accordance with association rules.
Professional Conduct & Accountability
OPCA maintains a formal process for handling grievances and disciplinary matters. The bylaws outline procedures for investigating complaints, resolving disputes, and taking appropriate action when necessary. These processes help protect consumers, maintain professional standards, and uphold the integrity of the association.
Financial Oversight
The bylaws provide guidance on dues, financial management, and annual financial review. These provisions ensure responsible stewardship of association funds and transparency in OPCA’s financial operations.
Amendments
The bylaws include a defined process for amendments, requiring notice to members and approval by a supermajority vote. This ensures changes are thoughtful, member-informed, and aligned with OPCA’s long-term goals.
